Job Description/Responsibilities:

Capital Good Fund seeks a General Counsel to help with corporate governance, compliance, risk management, licensing, contracting, reporting, legal research, and advisement of staff and board as to all legal and compliance matters. Candidates must be a licensed attorney with experience in government, nonprofit, or corporate compliance, and have at least two (2) years of demonstrated experience in at least two (2) of the following areas: corporate governance; contract / legal drafting and review; risk management; litigation; nonprofit organizational legal matters; or HR law.

In this role, the General Counsel will:

  • Manage all aspects of compliance with state and federal rules and regulations, such as those related to:
  • Lending (Fair Debt Collection Practices Act, Fair Credit Reporting Act, Military Lending Act, State lending laws, and Truth in Lending Act)
  • Know-your-customer and data security / privacy rules
  • State and federal labor laws
  • Review, edit, and sign off on all contracts, including grant and loan agreements; NDAs and MOUs with current and potential partners; and other contracts with third parties
  • Set and oversee compliance with internal governance policies and procedures
  • Provide strategic legal and risk-management advice to the C-Suite and Board
  • Interface with external Counsel, as needed
  • Perform annual regulatory reviews; take the lead on researching lending laws in new states and monitoring changes to laws in existing states
  • Assist in the launch of new products, such as a mortgage loan, with a focus on ensuring compliance with relevant statutes and regulations
  • Conduct annual internal audits and report relevant findings and recommendations corrective action directly to Chairwoman of the Board of Directors and / or C-suite

Required Skills, Knowledge, and Abilities:

  • Law degree
  • Licensed to practice law in at least one U.S. state

Preferred Skills, Knowledge, and Abilities:

  • Experience in nonprofits and / or financial services
  • Familiarity and comfort with Excel and customer relationship management software, such as Salesforce.com

Physical Requirements:

  • Prolonged periods of sitting at a desk and working on a computer
  • Full vaccination against COVID-19 or a valid religious or medical exemption

Training, Compensation, and Benefits:

The General Counsel will receive extensive training on all of Capital Good Fund’s policies, procedures, mission, financials, and strategic goals.

This is a full time forty hour-per-week position. The General Counsel will earn an annual salary of between $ 70,000 - $90,000 based on experience.

In addition, the General Counsel will receive a competitive benefits package that includes a 401(k) plan with an employer match of 3% of gross earnings with a minimum contribution of 1%, medical insurance with a $400/month employer subsidy, dental insurance fully covered by employer, 5 paid personal days per benefit year, 15 paid vacation days in the first year on staff, and the opportunity to apply for personal loans of up to $2,000 at 0% interest.
