KPMG Delivery Network is currently seeking a Director, Senior Legal Counsel to join our Legal Team

Responsibilities:

  • Assist on multiple KDN priorities including realigning existing KPMG entities, forming new operating companies, augmenting KDN’s capabilities through acquisitions that enhance our service offerings and other corporate and commercial matters which arise
  • Advise on acquisitions, divestitures, strategic investments, service offerings and other structural and commercial initiatives
  • Review or draft and negotiate transaction documents including share and asset purchase/sale agreements, service agreements and other transaction and commercial agreements
  • Manage the legal due diligence process and coordinate and lead all transaction related legal activities (including working with the AE&I team and other KDN partners)
  • Help with implementations, closings and post-transaction integrations
  • Provide the legal view of general business issues and manage risk in a manner which satisfies KDN’s risk tolerance and compliance obligations

Qualifications:

  • Minimum seven years of experience working as part of a legal team (either at a reputable law firm or an equivalent in-house position) on complex corporate transactions (including M&A) and entity setups, structuring and governance
  • Juris Doctorate (JD) or equivalent degree with an active license to practice law and a member in good standing in the jurisdiction where the individual is based
  • Substantial expertise negotiating, drafting and reviewing transactional and commercial agreements and advising on laws and regulations across multiple jurisdictions
  • Specific fluency with shareholder, partnership, joint venture, and other corporate governance/formation agreements
  • Comfortable operating in a fast-paced environment working with many different stakeholders worldwide; contributes to a collaborative and inclusive environment amongst other KDN/KPMG professionals; culturally sensitive in order to engage with people at all levels and from diverse backgrounds and locations
  • Ability to work independently in a fast-paced and global work environment along with excellent organizational, communication and interpersonal skills
